1. Scope of Advisory Services

Glow Vertex Point Co., Ltd. provides professional consulting, application telemetry auditing, cohort decay modeling, and executive retention reporting frameworks. All advisory services are delivered according to written statements of work, proposals, or service agreements executed between the client and the Company.

2. Intellectual Property Rights

• Company Materials: All proprietary methodologies, diagnostic frameworks, report templates, website content, graphics, and written materials produced by Glow Vertex Point Co., Ltd. remain the intellectual property of the Company.
• Client Telemetry & Data: Clients retain full and exclusive ownership of all proprietary data, event logs, user analytics records, and confidential business metrics shared with us during diagnostic engagements.
• Deliverables: Upon receipt of full payment for contracted services, the client is granted an irrevocable, non-exclusive license to use, modify, and implement all delivered findings reports and remediation roadmaps for their internal business operations.

3. Professional Confidentiality (NDA)

We recognize that application telemetry contains sensitive commercial information. We hold all client metrics, user records, codebase references, and business metrics in strict confidence. Prior to receiving access to client analytics repositories or telemetry warehouses, we execute a legally binding mutual Non-Disclosure Agreement (NDA).

4. Limitation of Liability & Warranties

• Our diagnostic audits, analyses, and recommendations are based on empirical evaluations of the telemetry data supplied by the client. While we apply rigorous industry standards, we do not guarantee specific commercial or financial revenue outcomes resulting from product modifications.
• To the maximum extent permitted by applicable law in Thailand, Glow Vertex Point Co., Ltd. shall not be liable for indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our advisory services.
• In all circumstances, our maximum aggregate liability shall be limited to the total fees paid by the client for the specific advisory engagement giving rise to the claim.

5. Client Obligations

Clients agree to provide accurate and timely access to necessary event logs, product documentation, and technical personnel required for the completion of contracted diagnostic sprints.

6. Governing Law and Jurisdiction

These Terms of Service and any separate agreements whereby we provide you advisory services shall be governed by and construed in accordance with the laws of the Kingdom of Thailand (TH). Any dispute, controversy, or claim arising out of or relating to these terms shall be submitted to the exclusive jurisdiction of the competent courts in Thailand.

7. Modifications to Terms

We reserve the right to revise these Terms at any time. Updated terms will be posted on this page with a revised “Last Updated” date. Continued use of our website constitutes acceptance of the modified terms.
